Terms of Service
The agreement between you and SignNDA for using signnda.online. The NDAs you make with SignNDA are separate agreements, between you and the other party.
This version stays at signnda.online/terms/2026-10-28.
Who we are
SignNDA (signnda.online) is operated by TwoEleven LLC, a Delaware limited liability company, in the United States (“SignNDA”, “we”). These Terms of Service (“these Terms”) are the agreement between you and SignNDA for using it; the NDA you make with it is a separate agreement, whose text the next section describes. You reach us through the contact form. You agree to these Terms by making an account, by signing in, or by opening an invitation and agreeing to them there.
What SignNDA is, and is not
SignNDA is not a law firm and is not a substitute for the advice or services of an attorney. It offers one standard mutual NDA and a way to fill it in and sign it. It gives no legal advice, does not review your situation or your answers, and does not recommend any choice you make, including the governing law. Using SignNDA does not make anyone your lawyer. SignNDA is operated by TwoEleven LLC.
The NDA SignNDA offers is the Bonterms Mutual NDA (Version 1.0), a published standard and a different document from these Terms, reproduced without change under the Creative Commons Attribution 4.0 license, with a Cover Page that SignNDA wrote, including the Additional Terms the Cover Page lists. No lawyer has reviewed the NDA for SignNDA or for you. SignNDA is not affiliated with Bonterms, which has not reviewed or endorsed SignNDA, its Cover Page or its Additional Terms; “Other people’s work” below gives the credit. Nothing in these Terms limits anyone’s use of the Bonterms Mutual NDA under its license.
Whether an agreement suits your situation, and whether it will be enforced, is for you to decide, with your own lawyer if you need one.
Who may use it
You must be 18 or older and able to make a binding contract. You may use SignNDA only for business or professional purposes: for a company, a partnership or another organization, or as an individual acting in a professional capacity, such as a sole proprietor. It is not for personal, family or household purposes, and not for government bodies, trusts or unincorporated associations.
SignNDA does not start an agreement for a party based in North Carolina. A party based there may still sign an agreement another party sends it.
Your account
You sign in with a link sent to your email address, or with the link in an invitation to sign, so keep that mailbox to yourself: anyone who can read it can sign in as you. An account is for one person. Use your real name and, for an organization, only details you have the authority to use.
Agreements you make with SignNDA
SignNDA is not a party to any agreement made with it, and is not responsible for whether either party keeps it. SignNDA confirms a signer’s identity only by the email address they confirm with an emailed link, and their authority to sign only by the statement they make when signing. It does not check anyone’s identity, authority or details any further.
When you sign, you confirm that you may sign for the party you sign for, and you agree to sign electronically and to receive the agreement, its signed copy and our messages about it by email. Your signature records what the Privacy Policy describes.
An agreement binds only once both parties have signed the same text. Until then the sender can withdraw it, and the other party can ask for a change or decline. A change makes a new revision, which the sender signs again; the earlier one, and the signature on it, no longer apply.
Send an agreement only to someone who expects it from you. We email them on your behalf, and they see your name, title and organization. On Premium, unless you turn it off on your account page, we also remind them for you while they have not answered: three days after the last email to them, then four days later, then seven, and no more. You can always send a reminder yourself.
Using it fairly
Do not use SignNDA for anything unlawful, to pretend to be someone else, to send mail to people who did not expect it, or to probe, overload or get around its limits.
What you put in
What you put in an agreement or upload, such as a logo, stays yours. You allow us to keep, process, display and send it to make, show, send and keep your agreements, and for nothing else (see the Privacy Policy). You promise that you have the right to use what you put in, and that using it as these Terms describe infringes no one’s rights.
Plans
Free stays free. Premium costs nothing while SignNDA is in its pilot; Premium accounts hear from us before that changes, and nothing is ever charged unless you choose it. You can change your plan at any time on your account page.
No warranty
SignNDA, the agreement it offers and everything on signnda.online are provided “as is” and “as available”. To the fullest extent the law allows, we make no warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that an agreement made with SignNDA is valid, enforceable or suitable for you.
Limit of liability
To the fullest extent the law allows, SignNDA is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, arising from SignNDA or from an agreement made with it, and SignNDA’s total liability for all claims about SignNDA is limited to one hundred U.S. dollars (US$100). These limits do not apply to liability for fraud, gross negligence or willful misconduct, or to any liability that the law does not allow to be limited.
Your responsibility
You will defend and indemnify SignNDA against claims by others that arise from what you put into SignNDA or from your breach of these Terms, except to the extent a claim arises from SignNDA’s own negligence or misconduct.
Suspending, ending and closing
We may suspend or close an account that breaks these Terms. You can stop using SignNDA at any time and ask us to delete your account through the contact form. Deleting it does not remove an agreement you sent or signed from the other party’s account (see the Privacy Policy).
If SignNDA is to stop, we email account holders at least 30 days before, and you can download your signed agreements until then.
Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute about them goes to the state and federal courts located in the State of Delaware, and you and SignNDA agree to those courts’ jurisdiction. Either of us may instead bring a claim in small-claims court where it qualifies. There is no arbitration. An NDA made with SignNDA is governed by its own governing law and jurisdiction, not by this section.
Changes to these Terms
A new version of these Terms is posted here with its effective date, and every version stays at its own address. We email account holders at least 30 days before a material change applies, and ask you to agree to it the next time you sign in.
Other people’s work
The NDA’s text is the Bonterms Mutual NDA (Version 1.0), © 2021, published by Bonterms at bonterms.com/standard/bonterms-mutual-nda-v1 and used under the Creative Commons Attribution 4.0 license (creativecommons.org/licenses/by/4.0). SignNDA reproduces it without change, and the agreement’s last page points here for this credit. Its publisher’s disclaimer applies to it: the publisher gives no legal advice, does not guarantee the enforceability or effect of the NDA and has no liability relating to its use. The Cover Page around it and the Cover Page’s Additional Terms are SignNDA’s own. Bonterms is a trademark of Bonterms, named here only to say where the text comes from: Bonterms does not endorse SignNDA. The typefaces and signature hands are used under their own licenses and belong to their designers. Everything else on SignNDA, including the SignNDA name, mark and written text, belongs to TwoEleven LLC.
The rest
These Terms and the Privacy Policy are the whole agreement between you and SignNDA about using it. If a part of them cannot be enforced, the rest still applies. Not enforcing a part is not a waiver of it. You may not transfer these Terms; we may transfer them to whoever takes over SignNDA, and will tell you if we do.
